PUSH Buffalo – Annual Meeting

On Saturday, December 14th, 3-5 PM, People United for Sustainable Housing (PUSH Buffalo) will be holding our annual members meeting where there will be an opportunity to learn about the organization, to vote on proposed by-laws, and to vote for board members.

Notice of Annual Members’ Meeting

 

The purpose for which the meeting is to be held is:
1. At this meeting our Executive Director Rahwa Ghirmatzion will give the Members an update
on all the projects and work PUSH has done in the community in 2019.
2. At this meeting Members will also vote, as usual, on board members.
3. And finally, this year, amendments to the Bylaws are proposed. Further notice about the
proposed changes to the Bylaws, and how to obtain a full copy of the proposed changes, is below.

A Bylaws amendment requires a vote of two-thirds of the Members at a meeting with 25% of Members present, so your attendance in person or by proxy is important. This is going to be an invigorating, exciting, and important meeting! Please contact PUSH with any questions about attendance, appearing by proxy, or any accommodations you need to attend.

The Board of Directors of PUSH recommend the following Bylaws changes:
1. That the Bylaws be revised to re-number the contents to reflect the changes and ensure clarity
of organization.
2. That the Bylaws be revised to update the process for confirming members residing in Niagara
and Erie Counties.
3. That the Bylaws be revised to make changes required due to updates in the New York Not-for-Profit Corporations Law, including adding specific content about routine audit, management of restricted funds, the responsibility of the Board’s Executive Committee, and provisions to guard against conflicts of interest.
4. That the Bylaws be revised to specifically allow Board members to appear at meetings via
teleconference.
5. That the Bylaws be revised to change all uses of “him/her” and “his/hers” to “they/theirs.”
6. That the Bylaws be revised to remove references to officer positions not active in the organization (“President,” and “Vice President”).
7. That the Bylaws be revised to reduce the number of Directors from fifteen to thirteen.
8. That the Bylaws be revised so no less than 75% of the Directors are from the “Frontline Communities,” PUSH was created to unite and empower.
